Terms of Service

These Terms of Service ("Terms") govern your use of swyftcadence.com (the "Site") and the Swyft Cadence business texting platform (the "Platform") provided by Swyft Cadence LLC ("Swyft Cadence," "we," "us," or "our"). By using the Site or Platform, you agree to these Terms. If you use the Platform on behalf of a business, you agree to these Terms on behalf of that business ("Client" or "you").

1. The Platform

Swyft Cadence provides software that lets businesses send and receive text messages, run follow-up sequences, use AI-assisted replies, and manage conversations with their contacts. Features may change over time.

2. Accounts

You must provide accurate business information, including the information needed to register your business and messaging campaigns with carriers. You are responsible for keeping your login credentials secure and for all activity under your account.

3. Consent and messaging compliance

You are solely responsible for the messages you send through the Platform and for complying with all applicable laws and rules, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act where applicable, state telemarketing and texting laws, the CTIA Messaging Principles and Best Practices, and carrier requirements. In particular, you agree that:

• You will only message people who have given the level of consent required by law for the type of message you send, and you will keep records of that consent.
• You will honor opt-out requests. The Platform automatically processes STOP, END, CANCEL, UNSUBSCRIBE, and QUIT replies, and you will not attempt to work around them or re-add opted-out contacts without new, valid consent.
• You will identify your business in your messages and respond to HELP requests.
• You will follow quiet-hour and frequency rules that apply to you.
• You will not use purchased, rented, or scraped contact lists.

4. Prohibited content and use

You may not use the Platform to send or support:

• Spam or messages to anyone who has not consented
• Content involving sex, hate, alcohol, firearms, tobacco, or cannabis, or other content prohibited by carriers
• Illegal products or services, fraud, phishing, or deceptive messages
• Debt collection, high-risk financial offers, or other categories restricted by carriers unless specifically approved
• Anything that violates the law or the rights of others

We may review, pause, or block messages, campaigns, or accounts that we believe violate these Terms or carrier rules, without prior notice.

5. AI-assisted replies

The Platform may use AI to draft or send replies. AI output can be inaccurate. You are responsible for configuring the AI, reviewing how it is used, and making sure messages sent from your account are accurate and lawful. The AI is not intended to provide legal, financial, medical, or other professional advice, and you may not configure it to do so.

6. Fees and credits

Fees, per-message rates, and credit purchases are set out in your plan or order. Carrier and registration fees may be passed through to you. Unless stated otherwise, fees and purchased credits are non-refundable. We may change pricing with advance notice.

7. Suspension and termination

You may stop using the Platform at any time. We may suspend or terminate your access if you violate these Terms, fail to pay, create risk for Swyft Cadence or our carrier partners, or if required by a carrier or by law.

8. Your data

You own your contact lists and message content. You give us permission to use them only as needed to provide the Platform, keep compliance records, and meet legal obligations. Our handling of personal information is described in our Privacy Policy.

9. Indemnification

You agree to defend, indemnify, and hold harmless Swyft Cadence and its owners, employees, and partners from any claims, fines, damages, or costs (including attorneys' fees) arising from your messages, your contact lists, your lack of required consent, or your violation of these Terms or any law.

10. Disclaimers

The Platform is provided "as is" and "as available." We do not guarantee that messages will be delivered, that the Platform will be uninterrupted or error-free, or that carriers will approve any registration. Carriers are not liable for delayed or undelivered messages.

11. Limitation of liability

To the fullest extent permitted by law, Swyft Cadence will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Site or Platform will not exceed the amount you paid us in the three months before the claim.

12. Text messages from Swyft Cadence

If you agree to receive texts from Swyft Cadence, message frequency varies and message and data rates may apply. Reply STOP to opt out or HELP for help. Consent is not a condition of purchase. See our Privacy Policy.

13. Governing law

These Terms are governed by the laws of the state in which Swyft Cadence LLC is organized, without regard to its conflict-of-law rules.

14. Changes

We may update these Terms from time to time. We will post the updated version on this page with a new effective date. Continued use of the Site or Platform means you accept the updated Terms.
